📋 Agreement to Terms. By engaging TechyOctopus for any service, accessing our website or signing a service agreement, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
1. About TechyOctopus
TechyOctopus ("Company", "we", "us", "our") is a digital marketing agency registered in Bangladesh, providing social media marketing, SEO, graphic design, web development, e-commerce solutions and related digital marketing services.

2. Services
TechyOctopus provides the following services, subject to a signed agreement or confirmed order:
- Social Media Management (Facebook, Instagram, LinkedIn)
- Search Engine Optimisation (SEO)
- Graphic Design & Brand Identity
- Web Design & WordPress Development
- E-Commerce Setup & Management
- Content Creation & Video Editing
- Paid Advertising Campaign Management
The specific scope, deliverables and timelines for each client are defined in a separate Service Agreement or proposal document.
3. Client Responsibilities
To enable us to deliver our services effectively, clients agree to:
- Provide timely access to required platforms, assets, login credentials and brand materials
- Respond to communications and approval requests within a reasonable timeframe (typically 48 hours)
- Provide accurate and complete business information
- Ensure all content, images or materials they supply do not infringe any third-party intellectual property rights
- Comply with the terms of service of all relevant platforms (Facebook, Instagram, Google, etc.)
- Make payments on time as per the agreed schedule
4. Payment Terms
4.1 Fees & Invoicing
- Service fees are as quoted in the agreed proposal or package description
- Monthly retainer fees are due at the beginning of each month
- Invoices are issued at the start of each billing period
- Accepted payment methods: Bank transfer, bKash, Nagad, or as otherwise agreed
4.2 Late Payments
- Payments not received within 7 days of the due date may result in a temporary pause of services
- Services will resume upon receipt of full outstanding payment
- TechyOctopus reserves the right to charge a late fee of 5% per month on overdue amounts
4.3 Refund Policy
Due to the nature of digital marketing services:
- Completed work and services already rendered are non-refundable
- If we fail to deliver agreed services within the specified timeframe through our own fault, a partial refund or service credit may be offered at our discretion
- Ad spend paid to third-party platforms (Google, Meta) is non-refundable once spent
5. Intellectual Property
5.1 Work Created for Clients
Upon full payment of all outstanding fees, TechyOctopus assigns all intellectual property rights in the deliverables created specifically for the client (including logos, graphics, website designs, and written content) to the client.
5.2 TechyOctopus Materials
Our website, templates, processes, proprietary tools, and portfolio materials remain the exclusive intellectual property of TechyOctopus. Clients may not reproduce or distribute these without written permission.
5.3 Portfolio Rights
Unless otherwise agreed in writing, TechyOctopus reserves the right to use completed work in our portfolio, case studies and marketing materials.
5.4 Third-Party Content
Clients are responsible for obtaining all necessary licences for stock images, fonts or other third-party materials they provide or request us to use.
6. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the engagement, including business strategies, pricing, client lists, and technical details. This obligation survives termination of the service agreement.
We will never share your confidential business information, login credentials, or campaign data with any third party without your explicit consent, except as required by law.
7. Social Media & Platform Policies
All services involving social media platforms are subject to the respective platform's terms of service, including:
TechyOctopus will not engage in practices that violate platform policies, including fake followers, engagement manipulation, or misleading advertising. Any client request to engage in such practices will be declined.
⚠️ Platform policy violations initiated by client instructions are the client's sole responsibility. TechyOctopus accepts no liability for account suspensions resulting from client-directed policy violations.
8. Results & Performance
Digital marketing results depend on many factors beyond our direct control, including platform algorithms, market conditions, competition, budget levels, and business factors specific to your industry.
- TechyOctopus does not guarantee specific follower numbers, traffic volumes, conversion rates or revenue figures
- We commit to applying our best expertise, industry best practices and full effort to achieve the best possible results within your budget
- Performance metrics will be transparently reported as agreed
9. Termination
9.1 Termination by Client
Clients may terminate services with 30 days written notice. Payment is due for all work completed and services rendered up to the termination date.
9.2 Termination by TechyOctopus
We reserve the right to terminate services immediately if a client:
- Fails to make payment within 14 days of the due date
- Requests activities that violate platform policies or applicable laws
- Engages in abusive or threatening behaviour toward our team
- Provides false or misleading information
9.3 Upon Termination
We will return all client assets, transfer all accounts back to the client, and provide a final project handover within 7 business days of termination.
10. Limitation of Liability
To the maximum extent permitted by law, TechyOctopus's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months prior to the claim.
We are not liable for:
- Indirect or consequential losses, including loss of profit or business opportunity
- Losses arising from platform outages, algorithm changes or force majeure events
- Third-party actions including platform suspensions not caused by our breach
11. Governing Law
These Terms and Conditions are governed by the laws of Bangladesh. Any disputes shall be resolved in the courts of Chittagong, Bangladesh. Both parties agree to attempt good-faith resolution before initiating legal proceedings.
12. Changes to Terms
We may update these Terms from time to time. Continued use of our services after notification of changes constitutes acceptance of the updated Terms. For existing service agreements, material changes will be communicated with 30 days' notice.
